If thats not working try THIS It just wipes the passwords allowing full access as admin until a new password is created.  You can do this on USB too.

I have seen that but to me they don't make a lot of sense What do I download and what are the instructions for it. I don't care if I have to wipe the pass or not.

I've never used these at all. I just had a look for you whilst you were trying that one. The link I give has the step by step instructions and there's another here called PC Login now again theres step by step instructions and screenies.

I'm going to have to call it a night now its just coming to 01;30am and eyes are fading fast. I'll check out in the morning and see how you got on.  ;)

I have used the NT offline but with a cd I didn't know it can be used with a USB it is the second link i posted up

this walk through will help you to use it I don't know how to load it with a USB.
http://pogostick.net/~pnh/ntpasswd/walkthrough.html

Edit:
It says to read the readme file in the cd image, it will tell you how to make a bootable USB

Just boot this CD and follow instructions.
Usually, just pressing return/enter should work, except some
drivers (ISA for instance) may have to be loaded manually with
the 'm' menu option after boot.

 ---

The password reset and registry edit has now been tested with the following:

NT 3.51, NT 4, Windows 2000, Windows XP, Windows 2003 Server,
Vista and Server 2008.

As far as I know, it will work with all Service Packs (SP) and
all editions (Professional, Server, Home etc)
Also, 64 bit windows version (XP, 2003, Vista, 2008) shold be OK.

 ---

To make a bootable USB drive / key:

1. Copy all files from this CD onto the USB drive.
It cannot be in a subdirectory on the drive.
You do not need delete files already on the drive.
2. Install the bootloader (you may have to be administrator)
On the USB drive, there should now be a file "syslinux.exe".
Run this from a command line, like this:

    j:\syslinux.exe -ma j:

replace j with some other letter if your USB drive is on another
drive letter than j:
On some drives, you may have to omit the -ma option if you
get an error.
If it says nothing, it probably did install the bootloader.

Please note that you may have to adjust settings in your computers BIOS
setup to boot from USB.
Also, some BIOS (often older machines) simply won't boot from USB anyway.
Unfortunately, there are extremely many different versions of BIOS,
and a lot of them are rather buggy when it comes to booting off different
media, so I am unable to help you.

if you booted from the USB you made with offline there is if not there isn't an easy way to do it.

quick walk through:
1 When you boot offline you pick the hard disk with windows
2 Then it will prompt you to pick a reset (1) or recovery console (2) pick 1
3 Then you pick the user by the username or RID
4 pick clear password
5 press q to quit
6 say yes for the program to make changes
7 reboot after its done.
